Terms of Service
Last updated October 17, 2026
These Terms of Service ("Terms") govern access to and use of Amber, the software and related services provided by Amber AI Labs, Inc., doing business as Amber Legal ("Amber," "we," "us," or "our"), including our websites at https://www.hireamber.com and https://www.amberlegal.ai and the application at https://app.amberlegal.ai (together, the "Service").
The Service is offered to law firms and other legal organizations (each, a "Firm") and to the attorneys and staff a Firm authorizes to use it ("Users"). By accessing or using the Service, you agree to these Terms on behalf of yourself and the Firm you represent, and you confirm that you have authority to bind that Firm. If a Firm has signed a separate written agreement or order form with us, that agreement controls where it conflicts with these Terms.
1. The Service
Amber is AI agent software for California workers' compensation law firms. It reads and organizes case documents and email, tracks deadlines, and drafts documents for attorney review.
Amber is not a law firm and does not provide legal advice. The Service assists attorneys and their staff. It does not replace an attorney's professional judgment. Output generated by the Service, including summaries, calculations, deadlines, and draft documents, may be incomplete or inaccurate. The Firm and its attorneys are responsible for reviewing all output before relying on it, filing it, or sending it to anyone, and for all legal advice and work product they provide to their clients.
2. Accounts and Users
Accounts are created for a Firm and its Users by us or by the Firm's administrator. Each User must keep their login credentials confidential and must not share an account. The Firm is responsible for its Users' activity on the Service, for promptly removing access for Users who leave the Firm, and for notifying us at hello@hireamber.com if it believes an account has been compromised.
3. Customer Data
"Customer Data" means the documents, email, case information, client information, and other content that a Firm or its Users upload to, connect to, or create in the Service, including information about the Firm's clients, such as medical records, claim documents, and Social Security numbers.
The Firm owns its Customer Data. We claim no ownership of it. The Firm grants us a limited license to host, copy, process, and display Customer Data only as needed to provide, maintain, secure, and support the Service for the Firm and as the Firm instructs.
How we use Customer Data. We process Customer Data only as a service provider on the Firm's behalf. We do not:
- sell or share Customer Data,
- use Customer Data for advertising or marketing,
- use Customer Data to train our own AI models, or
- use Customer Data for any purpose other than providing the Service to the Firm, except as required by law.
We may use aggregated, de-identified information about how the Service is used (for example, feature usage counts and error rates), which does not include the content of Customer Data, to operate and improve the Service.
4. Confidentiality and Attorney-Client Privilege
We treat Customer Data as confidential. We limit access to it to our personnel and service providers who need it to provide, secure, or support the Service, and who are bound by confidentiality obligations. We access a Firm's Customer Data for support only when needed to resolve an issue the Firm reports or to keep the Service secure and working.
We understand that Customer Data may be protected by the attorney-client privilege, the work-product doctrine, and an attorney's duty of confidentiality. We do not intend our processing of Customer Data to waive any privilege or protection. If we receive a subpoena, court order, or other legal demand for a Firm's Customer Data, we will, unless legally prohibited, promptly notify the Firm so it can seek a protective order or other remedy, and we will disclose only what we are legally required to disclose.
5. AI Providers and Other Subprocessors
The Service uses third-party providers to host data and run AI models, including the AI providers and other service providers listed in our Privacy Policy. These providers process Customer Data only to provide their services to us, under their commercial terms for business customers. We will keep the list of these providers in our Privacy Policy current.
6. Security
We maintain reasonable administrative, technical, and physical safeguards designed to protect Customer Data, including encryption of data in transit and access controls. No system is perfectly secure. If we become aware of unauthorized access to a Firm's Customer Data, we will notify the Firm without undue delay and provide the information we reasonably can to help the Firm meet its own obligations.
7. Firm Responsibilities
The Firm is responsible for:
- having the right to upload and process its Customer Data with the Service, including any consents required from its clients;
- complying with its professional obligations when using the Service, including duties of competence, confidentiality, and supervision under the California Rules of Professional Conduct;
- obtaining any consent required before the Service sends text messages or other communications to the Firm's clients on the Firm's behalf; and
- reviewing the Service's output, as described in section 1.
8. Acceptable Use
You must not:
- use the Service in violation of any law or regulation, or of the rights of any person;
- upload content you do not have the right to upload;
- attempt to access other Firms' data, or probe, scan, or test the vulnerability of the Service without our written permission;
- interfere with or disrupt the Service, or attempt to reverse engineer it except as permitted by law;
- use the Service to build a competing product; or
- resell or provide access to the Service to anyone outside your Firm without our written permission.
9. Fees
Fees for the Service are set out in the Firm's order form or as otherwise agreed in writing. Unless agreed otherwise, fees are billed in advance, are non-refundable, and do not include taxes, which the Firm is responsible for. We may suspend the Service for non-payment after giving the Firm notice and a reasonable opportunity to pay.
10. Term, Termination, and Return of Data
These Terms apply for as long as a Firm uses the Service. Either party may end the Firm's subscription as provided in the Firm's order form or, if there is none, on 30 days' written notice. We may suspend or terminate access immediately if a User materially breaches section 8 or if needed to protect the Service or other customers.
After termination, the Firm may request an export of its Customer Data within 30 days, and we will provide it in a commonly used format. We will then delete the Firm's Customer Data from our active systems within 90 days after termination, except for copies we are required by law to keep. Data remaining in routine backups will be deleted as those backups expire in the ordinary course.
11. Our Intellectual Property
We own the Service, including its software, design, and documentation, and all improvements to it. These Terms give the Firm a limited, non-exclusive, non-transferable right to use the Service during its subscription for its internal business purposes. If you give us feedback or suggestions, we may use them without obligation to you.
12. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that its output will be accurate or complete.
13. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to these Terms or the Service. Each party's total liability arising out of or related to these Terms or the Service will not exceed the fees the Firm paid us for the Service in the twelve (12) months before the event giving rise to the liability. These limits do not apply to a party's fraud, gross negligence, or willful misconduct, or to the Firm's payment obligations.
14. Indemnification
The Firm will defend and indemnify us against third-party claims arising from Customer Data the Firm did not have the right to upload, or from the Firm's use of the Service in violation of these Terms or applicable law, including the legal work product the Firm provides to its clients.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will notify Firms by email or in the Service at least 30 days before it takes effect. Continued use of the Service after a change takes effect means the Firm accepts the updated Terms.
17. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition, or sale of substantially all of its assets. These Terms, together with any order form and our Privacy Policy, are the entire agreement between the parties about the Service.
